How we work
In East Africa, most strategies are accomplished through partnerships. A company that wants to reach customers, produce locally, secure supply, win a tender or finance a project almost always needs another party to do it, and the quality of that partnership decides whether the strategy succeeds. We help companies think through the strategy, find the partner, design the arrangement and carry it to signature and beyond, using a method we call the Partnership Path.
A strategic partnership is more than a contract. It is a decision about whom to build with, a design that gives each party a reason to keep going, a set of approvals, and a relationship that must survive changes in markets, governments and people. We help with each of these, from the first map of the market to the months after signing.
The Partnership Path
We begin by understanding what you want to build and the ground on which you want to build it: the market, the regulators, the counties and communities, and the capital that might support it. We then identify and assess the partners who could help, explain each choice, and set out the regulatory path. Once you have chosen, we design the partnership with you, allocating rights, risks and value so that each side wins, and we document and negotiate it alongside your existing advisers. After signing we help the people who will run it to make it work, through governance, training and continued involvement.
How we structure our engagement with you
Engagements are agreed in writing before work begins. For larger partnerships, a commitment deposit of half the agreed fee is payable on signing, with the balance tied to milestones. We bring in specialists in tax, valuation, technical due diligence and foreign law where a matter needs them, and we coordinate their work so that you deal with one team throughout. Legal work, where it is needed, is undertaken by Maina Ndirangu & Co. Advocates under a separate engagement.
